ELIGIBILITY: The Schaedler Yesco 100th Anniversary Sweepstakes (the “Sweepstakes”) is not open to the general public and is only open to Eligible Businesses, as defined below. Sweepstakes entries may only be submitted by individuals (each, an “Entrant”) who are employed by an Eligible Business, defined as a business with a Schaedler Yesco customer account* in good standing and has a location within the states of Delaware, Maryland, New Jersey, New York, Ohio, Pennsylvania or West Virginia (an, “Eligible Business”). Only Entrants that are employed by, or are the owner of, an Eligible Business are eligible to enter the Sweepstakes on behalf of an Eligible Business. Prizes will be awarded to, and must be accepted by, the owner of the Eligible Business associated with the winning entry, or an employee with the authority to accept a prize on behalf of the Eligible Business associated with the winning entry (each, a “Eligible Business Representative”). An Eligible Business Representative must be a legal resident of the 50 United States or the District of Columbia and age 18 or older and the age of majority in their state of residence at the time of entry to accept a prize (if applicable). Competitor businesses of the Sponsor are not eligible for this Sweepstakes and any entries submitted by a competitor business are void. Sponsor reserves the right to verify eligibility requirements. Sweepstakes is void outside the states of Delaware, Maryland, New Jersey, New York, Ohio, Pennsylvania and West Virginia, and wherever else prohibited by law. Employees of the Sponsor, Sweepstakes Administrator and their respective subsidiaries, affiliates, advertising and promotion agencies, and the immediate family members (spouses, parents, children, and siblings and their spouses) of, and/or those living in the same household of each, are not eligible to enter or win. Sweepstakes is subject to all applicable federal, state and local laws and regulations. *It is free to open a Schaedler Yesco customer account. 

Entrants must have authority to participate in the Sweepstakes or have obtained such authority from an employer or a co-worker with the power to grant such authority within the Eligible Business, prior to participation in the Sweepstakes. By entering, each Entrant acknowledges and agrees that his/her participation in the Sweepstakes may be subject to, or prohibited or restricted by, his/her employer’s policies and regulations and that the Entrant is solely responsible for review of, and compliance with, any such policies or regulations of his/her employer.

SWEEPSTAKES ENTRY PERIODS: Sponsor’s computer is the official timekeeping device for this Sweepstakes. The Sweepstakes begins at 12:00:00 AM Eastern Time (“ET”) on Monday, January 1, 2024 and ends at 11:59:59 PM ET on Tuesday, December 31, 2024 (the “Sweepstakes Period”). Entries must be received during the Sweepstakes Period to be eligible for the Grand Prize Drawings and Runner-Up Prize Drawings, as further described herein. Within the Sweepstakes Period, there are twelve (12) Monthly Entry Periods (each, a “Monthly Entry Period”) and twelve (12) corresponding Monthly Random Drawings (each, a “Monthly Drawing”) as defined in the “Monthly Entry Periods & Monthly Drawings Schedule” below. Entries must be received during a Monthly Entry Period to be eligible for that Monthly Entry Period’s Monthly Drawing and prizes. Non-winning entries for a Monthly Entry Period will not roll over to subsequent Monthly Entry Periods and Monthly Drawings.  




HOW TO ENTER: 

 There are three (3) ways to enter, as described below: 

 Entry Method #1: Purchase Entry.

  • Step One: Eligible Businesses must first register for the Sweepstakes online. An authorized employee of an Eligible Business may register the Eligible Business into the Sweepstakes by visiting https://www.sydist.com/100thsweepstakes and following the instructions to complete and submit the registration form (the “Registration”). The registration form will require that the Eligible Business assign an Eligible Business Representative with the authority to accept a prize on behalf of the Eligible Business (see the “ELIGIBILITY” section of these Official Rules for further eligibility details). Once an Eligible Business has registered for the Sweepstakes, it does not need to register again. For avoidance of doubt, any purchase invoices received before an Eligible Business submits the Registration will not count towards a sweepstakes entry. 
  • Step Two: After submitting the Registration, Eligible Businesses will receive one (1) sweepstakes entry (each, a “Purchase Entry”) for every $1,000 of cumulative qualifying purchases (pre-tax) of Schaedler Yesco products or services invoiced during a Monthly Entry Period. If any purchased products are returned, or if any purchase or invoice is cancelled, such that the total amount of purchases invoiced within a Monthly Entry Period is less than $1,000, the associated Purchase Entry will be voided.

Purchase Entries must be received between Monday, January 1, 2024 at 12:00:00 AM ET and Tuesday, December 31, 2024 at 11:59:59 PM ET. 

 Entry Method #2: Free, Alternate Method of Entry (“AMOE”) / Mail-In Entry. Eligible Businesses who would like to enter without purchase may do so by mail. To enter without purchase:

  • Step One: Eligible Businesses must first register for the Sweepstakes online. An authorized employee of an Eligible Business may register the Eligible Business into the Sweepstakes by visiting https://www.sydist.com/100thsweepstakes and following the instructions to complete and submit the registration form (the “Registration”). The registration form will require that the Eligible Business assign an Eligible Business Representative with the authority to accept a prize on behalf of the Eligible Business (see the “ELIGIBILITY” section of these Official Rules for further eligibility details). Once an Eligible Business has registered for the Sweepstakes, it does not need to register again. For avoidance of doubt, any mail-in entry requests received before an Eligible Business submits the Registration will not count towards a sweepstakes entry.
  • Step Two: 
    1. If your Eligible Business is located in Prize Pool Region #1:  After submitting the Registration, Eligible Businesses that are located in Prize Pool Region #1 (as defined in the “RANDOM DRAWINGS & PRIZE POOL REGIONS” section of these Official Rules) will receive one (1) sweepstakes entry (each, a “Mail-In Entry”) by clearly hand-printing the Eligible Business Representative’s name, email address and phone number and the name and complete address of the Eligible Business on a sheet of paper and mail that sheet of paper in an addressed envelope with proper postage to: The Schaedler Yesco 100th Anniversary Sweepstakes—Prize Pool Region 1, PO Box 776, Social Circle, GA 30025-0776. 
    2. If your Eligible Business is located in Prize Pool Region #2:   After submitting the Registration, Eligible Businesses that are located in Prize Pool Region #2 (as defined in the “RANDOM DRAWINGS & PRIZE POOL REGIONS” section of these Official Rules) will receive one (1) sweepstakes entry (each, a “Mail-In Entry”) by clearly hand-printing the Eligible Business Representative’s name, email address and phone number and the name and complete address of the Eligible Business on a sheet of paper and mail that sheet of paper in an addressed envelope with proper postage to: The Schaedler Yesco 100th Anniversary Sweepstakes—Prize Pool Region #2, PO Box 776, Social Circle, GA 30025-0776.
    3. If your Eligible Business is located in Prize Pool Region #3:   After submitting the Registration, Eligible Businesses that are located in Prize Pool Region #3 (as defined in the “RANDOM DRAWINGS & PRIZE POOL REGIONS” section of these Official Rules) will receive one (1) sweepstakes entry (each, a “Mail-In Entry”) by clearly hand-printing the Eligible Business Representative’s name, email address and phone number and the name and complete address of the Eligible Business on a sheet of paper and mail that sheet of paper in an addressed envelope with proper postage to: The Schaedler Yesco 100th Anniversary Sweepstakes—Prize Pool Region #3, PO Box 776, Social Circle, GA 30025-0776.
    4. If your Eligible Business is located in Prize Pool Region #4:   After submitting the Registration, Eligible Businesses that are located in Prize Pool Region #4 (as defined in the “RANDOM DRAWINGS & PRIZE POOL REGIONS” section of these Official Rules) will receive one (1) sweepstakes entry (each, a “Mail-In Entry”) by clearly hand-printing the Eligible Business Representative’s name, email address and phone number and the name and complete address of the Eligible Business on a sheet of paper and mail that sheet of paper in an addressed envelope with proper postage to: The Schaedler Yesco 100th Anniversary Sweepstakes—Prize Pool Region #4, PO Box 776, Social Circle, GA 30025-0776.

Each Mail-In Entry must be mailed separately and must be postmarked during a Monthly Entry Period, as indicated in the “Monthly Entry Periods & Monthly Drawings Schedule” above, and received by the corresponding Mail-In Received by Date, as indicated in the “Monthly Entry Periods & Monthly Drawings Schedule” above. Photocopied, illegible, or mechanically reproduced mailed entries are not eligible. 

 Entry Method #3 / Expo Bonus Entries: 

  • Expo 2024 East Bonus Entry: Eligible Businesses who have registered for the Sweepstakes by completing and submitting a Registration, may earn additional sweepstakes entries into the corresponding Monthly Entry Period #3 Drawing for their Prize Pool Region and the Grand Prize & Runner-Up Prize Drawing for their Grand Prize Pool Region, as described below, by registering for and attending the Schaedler Yesco Expo 2024 East scheduled to take place on Thursday, March 28, 2024 at the Hershey Lodge & Convention Center (the “Expo East”). Eligible Businesses will receive one (1) Expo 2024 East Bonus Entry for each employee that attends Expo East (each, an “Expo East Bonus Entry”). It is free to register and attend Expo East. 
  • Expo 2024 West Bonus Entry: Eligible Businesses who have registered for the Sweepstakes by completing and submitting a Registration, may earn additional sweepstakes entries into the corresponding Monthly Entry Period #9 Drawing for their Prize Pool Region and the Grand Prize & Runner-Up Prize Drawing for their Grand Prize Pool Region, as described below, by registering for and attending the Schaedler Yesco Expo 2024 West scheduled to take place on Wednesday, September 18, 2024 at the Rivers Casino Pittsburgh (the “Expo West”). Eligible Businesses will receive one (1) Expo 2024 West Bonus Entry for each employee that attends Expo West (each, an “Expo West Bonus Entry”). 

 Purchase Entry, Mail-In Entry, Expo East Bonus Entry and Expo West Bonus Entry are collectively referred to herein as “Entry” or “Entries”. All methods of entry have an equal chance of winning. All entries become the property of the Sponsor and will not be acknowledged or returned. Sponsor is not responsible for lost, late, damaged, misdirected or postage-due mailed entries.


RANDOM DRAWINGS & PRIZE POOL REGIONS: Random Drawings will be conducted by the Sweepstakes Administrator, an independent representative of the Sponsor, whose decisions are final. 

Monthly Drawings & Prize Pool Regions: After each Monthly Entry Period has ended, all eligible Entries received during the Monthly Entry Period will be separated into the following four (4) Prize Pool Regions (each, a “Prize Pool Region”):

  1. Prize Pool Region #1: Eligible Businesses that have an address (as indicated during Registration) in the state of Ohio or in one (1) of the following counties within the states of New York and Pennsylvania will be placed into Prize Pool Region #1 (“Prize Pool Region #1”):
    1. New York Counties: Chautauqua, Erie, Niagara
    2. Ohio Counties: All counties
    3. Pennsylvania Counties: Armstrong, Beaver, Butler, Clarion, Crawford, Erie, Forest, Lawrence, Mercer, Venango, Warren
  2. Prize Pool Region #2: Eligible Businesses that have an address (as indicated during Registration) in the state of West Virginia or in one (1) of the following counties within the states of New York and Pennsylvania will be placed into Prize Pool Region #2 (“Prize Pool Region #2”):
    1. New York Counties: Allegany, Cattaraugus, Genesee, Livingston, Monroe, Wyoming
    2. Pennsylvania Counties: Allegheny, Bedford, Blair, Cambria, Cameron, Centre, Clearfield, Elk, Fayette, Greene, Huntington, Indiana, Jefferson, Juniata, McKean, Mifflin, Potter, Somerset, Washington, Westmoreland
    3. West Virginia: All counties
  3. Prize Pool Region #3: Eligible Businesses that have an address (as indicated during Registration) in the state of Maryland or in one (1) of the following counties within the states of New York and Pennsylvania will be placed into Prize Pool Region #3 (“Prize Pool Region #3”):
    1. Maryland: All counties
    2. New York Counties: Chemung, Ontario, Orleans, Schuyler, Seneca, Steuben, Tompkins, Wayne, Yates
    3. Pennsylvania Counties: Adams, Bradford, Clinton, Columbia, Cumberland, Dauphin, Franklin, Fulton, Lancaster, Lebanon, Lycoming, Montour, Northumberland, Perry, Snyder, Sullivan, Tioga, Union, York
  4. Prize Pool Region #4: Eligible Businesses that have an address (as indicated during Registration) in the states of Delaware, New Jersey or in one (1) of the following counties within the states of New York and Pennsylvania will be placed into Prize Pool Region #4 (“Prize Pool Region #4”):
    1. Delaware: All counties
    2. New York Counties: Albany, Bronx, Broome, Cayuga, Chenango, Clinton, Columbia, Cortland, Delaware, Dutchess, Essex, Franklin, Fulton, Greene, Hamilton, Herkimer, Jefferson, Kings, Lewis, Madison, Montgomery, Nassau, New York, Oneida, Onondaga, Orange, Oswego, Otsego, Putnam, Queens, Rensselaer, Richmond, Rockland, Saint Lawrence, Saratoga, Schenectady, Schoharie, Suffolk, Sullivan, Tioga, Ulster, Warren, Washington, Westchester
    3. New Jersey Counties: All counties
    4. Pennsylvania Counties: Berks, Bucks, Carbon, Chester, Delaware, Lackawanna, Lehigh, Luzerne, Monroe, Montgomery, Northampton, Philadelphia, Pike, Schuylkill, Susquehanna, Wayne, Wyoming

The potential Monthly First Prize and Monthly Second Prize winners will be selected in a series of random drawings from among all eligible entries received, per Prize Pool Region, within the corresponding Monthly Entry Period on or about the corresponding Monthly Drawing Date indicated in the “Monthly Entry Periods & Monthly Drawings Schedule” in the “SWEEPSTAKES ENTRY PERIODS” section of these Official Rules. 

 

Grand Prizes & Runner-Up Prizes Drawings: After the Sweepstakes Period has ended, all eligible Entries received during the Sweepstakes Period will be separated into the following two (2) Grand Prize Pool Regions (each, a “Grand Prize Pool Region”):

  1. Grand Prize Pool Region #1: Eligible Businesses that have an address in Prize Pool Region #1 and Prize Pool Region #2, as defined above.
  2. Grand Prize Pool Region #2: Eligible Businesses that have an address in Prize Pool Region #3 and Prize Pool Region #4, as defined above.

One (1) Grand Prize winner and one (1) Runner-Up Prize winner from Grand Prize Pool Region #1 and one (1) Grand Prize winner and one (1) Runner-Up Prize winner from Grand Prize Pool Region #2 will be selected in a random drawing on or about January 14, 2025. 

 

WINNER NOTIFICATION & VERIFICATION: 

Grand Prize and Runner-Up Prize Winners: The potential Grand Prize winners and Runner-Up Prize winners will be notified by the Sweepstakes Administrator via the email address and/or phone number of the Eligible Business Representative provided at the time of Registration. The owner of the Eligible Business, or an employee with the authorization to accept the prize on the Eligible Business’ behalf, will be required to sign and return, within five (5) days of notification, an Affidavit of Eligibility, a Liability Waiver, an IRS W-9 Form and where allowable, a Publicity Release (collectively, "the Releases"). These Releases will require the Eligible Business to provide a business taxpayer ID number, or a Social Security Number (if applicable), for the sole purpose of tax reporting, as required by law. Noncompliance will result in disqualification and an alternate winner may be selected. 

Monthly First Prize Winners: 

  • Monthly Entry Period #1, Entry Period #3, Entry Period #5, Entry Period #6 and Entry Period #9 First Prize Winners: The potential Monthly Entry Periods #1, #3, #5, #6 and #9 Monthly First Prize winners will be notified by the Sweepstakes Administrator via the email address and/or phone number of the Eligible Business Representative provided at the time of Registration. The owner of the Eligible Business, or an employee with the authorization to accept the prize on the Eligible Business’ behalf, will be required to sign and return, within five (5) days of notification, an Affidavit of Eligibility, a Liability Waiver, an IRS W-9 Form and where allowable, a Publicity Release (collectively, "the Releases"). The owner of the Eligible Business, or an employee with the authorization to accept the prize on the Eligible Business’ behalf, will be required to sign and return, within five (5) days of notification, an Affidavit of Eligibility, a Liability Waiver, and where allowable, a Publicity Release (collectively, "the Releases"). Noncompliance will result in disqualification and an alternate winner may be selected.

Monthly Second Prize Winners: The Monthly Second Prize winners will be notified by the Sponsor via the email address of the Eligible Business Representative provided at the time of Registration. No-response is required.

All Prizes will be awarded within approximately 45 days after winner verification.

If a prize notification or prize is returned as undeliverable, or if a winner is found to be ineligible or not in compliance with these Official Rules, that winner will be disqualified, and the prize may be awarded to an alternate winner in a separate random drawing. If Sponsor is unable to determine and verify a potential winner after repeated alternate drawings or if Sponsor fails to receive a sufficient number of entries to correspond to the number of prizes available to be awarded, Sponsor reserves the right to not award such prize(s).

PRIZES/APPROXIMATE RETAIL VALUE (“ARV”)/ODDS: 

Grand Prizes: There are two (2) Grand Prizes available to be won; one (1) Grand Prize per Grand Prize Pool Region. Each Grand Prize winner will receive one (1) Polaris Ranger (to be awarded in the form of a $16,000 All Trails Powersports Gift Card). The ARV of each Grand Prize is $16,000.00. 

Runner-Up Prizes: There are two (2) Runner-Up Prizes available to be won; one (1) Runner-Up Prize per Grand Prize Pool Region. Each Runner-Up Prize winner will receive one (1) $1,000 credit to their Schaedler Yesco account. The ARV of each Runner-Up Prize is $1,000.00.

Monthly First Prizes: There are four (4) Monthly First Prizes available to be won per Monthly Entry Period; one (1) Monthly First Prize per Prize Pool Region per Monthly Entry Period. 

  • Monthly Entry Period #1 Monthly First Prizes: Each Monthly Entry Period #1 Monthly First Prize winner will receive one (1) $1,000 Spa Gift Card. The ARV of each Monthly Entry Period #1 Monthly First Prize is $1,000.00.
  • Monthly Entry Period #2 Monthly First Prizes: Each Monthly Entry Period #2 Monthly First Prize winner will receive one (1) Bar Fridge. The ARV of each Monthly Entry Period #2 Monthly First Prize is $490.00. 
  • Monthly Entry Period #3 Monthly First Prizes: Each Monthly Entry Period #3 Monthly First Prize winner will receive one (1) Electric Bike (to be awarded in the form of a $1,299 Aventon Gift Card). The ARV of each Monthly Entry Period #3 Monthly First Prize is $1,299.00. 
  • Monthly Entry Period #4 Monthly First Prizes: Each Monthly Entry Period #4 Monthly First Prize winner will receive a five (5) minute track time driving experience at Dover Motor Speedway (to be awarded in the form of a gift certificate). The ARV of each Monthly Entry Period #4 Monthly First Prize is $499.99.
  • Monthly Entry Period #5 Monthly First Prizes: Each Monthly Entry Period #5 Monthly First Prize winner will receive one (1) Traegar Smoker Pro 780. The ARV of each Monthly Entry Period #5 Monthly First Prize is $999.99.
  • Monthly Entry Period #6 Monthly First Prizes: Each Monthly Entry Period #6 Monthly First Prize winner will receive one (1) Blackstone 28” Griddle with Air Fryer. The ARV of each Monthly Entry Period #6 Monthly First Prize is $799.00.
  • Monthly Entry Period #7 Monthly First Prizes: Each Monthly Entry Period #7 Monthly First Prize winner will receive one (1) Airpod Max (to be awarded in the form of a $550 Apple Gift Card). The ARV of each Monthly Entry Period #7 Monthly First Prize is $550.00. 
  • Monthly Entry Period #8 Monthly First Prizes: Each Monthly Entry Period #8 Monthly First Prize winner will receive one (1) Meta Quest 3 Headset. The ARV of each Monthly Entry Period #8 First Prize is $499.99. 
  • Monthly Entry Period #9 Monthly First Prizes: Each Monthly Entry Period #9 Monthly First Prize winner will receive two (2) $500 Ticketmaster Gift Cards. The ARV of each Monthly Entry Period #9 Monthly First Prize is $1,000.00.
  • Monthly Entry Period #10 Monthly First Prizes: Each Monthly Entry Period #10 Monthly First Prize winner will receive one (1) Solo Fire Pit Yukon 2.0. The ARV of each Monthly Entry Period #10 Monthly First Prize is $449.99.
  • Monthly Entry Period #11 Monthly First Prizes: Each Monthly Entry Period #11 Monthly First Prize winner will receive one (1) Smartwatch (to be awarded in the form of a $300 Apple Gift Card). The ARV of each Monthly Entry Period #11 Monthly First Prize is $300.00.
  • Monthly Entry Period #12 Monthly First Prizes: Each Monthly Entry Period #12 Monthly First Prize winner will receive one (1) Bose Smart Soundbar (to be awarded in the form of a $500 Best Buy Gift Card). The ARV of each Monthly Entry Period #12 Monthly First Prize is $500.00.

Monthly Second Prizes: There are four (4) Monthly Second Prizes available to be won per Monthly Entry Period; one (1) Monthly Second Prize per Prize Pool Region per Monthly Entry Period. Each Monthly Second Prize winner will receive one (1) $100 credit to their Schaedler Yesco account. The ARV of each Monthly Second Prize is $100.00.

The total ARV of all prizes available to be won: $72,351.84. There is no limit to the number of Monthly First Prizes or Monthly Second Prizes a winner may receive, however, an Eligible Business may not win both a Monthly First Prize and Monthly Second Prize within the same Monthly Entry Period. Odds of winning a Grand Prize or Runner-Up Prize will depend upon the total number of eligible entries received during the Sweepstakes Period per Grand Prize Pool Region. Odds of winning a Monthly First Prize or Monthly Second Prize will depend upon the total number of eligible entries received per Monthly Entry Period per Prize Pool Region. 

PRIZE CONDITIONS: Prizes are not redeemable for cash, assignable, transferable and may not be substituted except at Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value at its discretion. Any other incidental expenses on prizes not specified herein are the winner’s sole responsibility.

Gift Cards and Gift Certificates are not redeemable for cash and will not be replaced if lost or stolen. Gift Card and Gift Certificate usage is subject to the issuing company’s complete terms and conditions, including expiration dates.

The ARV of prizes are subject to price fluctuations in the consumer marketplace based on, among other things, any gap in time between the date the ARV is estimated for purposes of these Official Rules and the date the prize is awarded. The difference of any such fluctuation will not be awarded to the winner.

Prizes are awarded “as is” with no warranty or guarantee, either express or implied by Sponsor. Winners acknowledge that the Sponsor and all other businesses affiliated with this Sweepstakes and their agents do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact or in law, relative to the quality, conditions, fitness or merchantability of any aspect of the prize being offered, except that each merchandise prize shall be subject to its manufacturer’s standard warranty (if any). 

Schaedler Yesco account credits will be applied to the winning Eligible Business’ Schaedler Yesco account. 

Winners are responsible for all federal, state, local and income taxes associated with winning prize. 

PUBLICITY RELEASE: Except where prohibited by law, entry and acceptance of prize constitute permission to use winner's name, business name, prize won, address, likeness, video recordings, photographs, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission.

GENERAL: Participating Entrants, Eligible Businesses and Eligible Business Representatives agree to these Official Rules and the decisions of the Sponsor and the Sweepstakes Administrator, and release the Sponsor, the Sweepstakes Administrator, and their affiliated companies, and all other businesses involved in this Sweepstakes, as well as the employees, officers, directors and agents of each (the “Released Parties”), from all claims and liability relating to their participation in the Sweepstakes, and the acceptance and use/misuse of the prizes offered. Participating Entrants, Eligible Businesses and Eligible Business Representatives assume all liability for and Released Parties shall be held harmless against any liability for any injury, losses or damages of any kind to persons, including personal injury or death, or injury to property caused or claimed to be caused in whole or in part,  directly or indirectly, by participation in this Sweepstakes, acceptance, possession, or use/misuse of the prize, or any claims based on publicity rights, defamation or invasion of privacy, or merchandise delivery. Sponsor is not responsible for any typographical or other error in the printing of the offer, administration of the Sweepstakes or in the announcement of the prize.

Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Released Parties are not responsible for: (i) lost, late, misdirected, damaged or illegible entries; or (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to Entrant's or any other person's computer related to or resulting from participating in the Sweepstakes. By participating in the Sweepstakes, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of Sponsor and the Sweepstakes Administrator, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. 

Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor. If, for any reason, the Sweepstakes cannot be run as planned, Sponsor may disqualify any suspect entries or individuals from the Sweepstakes and any sweepstakes it sponsors and (a) suspend the Sweepstakes and modify the Sweepstakes to address the impairment, then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (b) award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment. 

THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS SWEEPSTAKES CANNOT BE ADMINISTERED OR CONDUCTED OR ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, EPIDEMICS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT, OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR. BY PARTICIPATING IN THIS SWEEPSTAKES, PARTICIPANT AGREES THAT THE RELEASED PARTIES WILL NOT BE RESPONSIBLE OR LIABLE FOR ANY INJURIES, DAMAGES, OR LOSSES OF ANY KIND, INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES TO PERSONS, INCLUDING DEATH, OR TO PROPERTY ARISING OUT OF ACCESS TO AND USE OF ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR THE DOWNLOADING FROM AND/OR PRINTING MATERIAL DOWNLOADED FROM SUCH SITE, AS APPLICABLE. FURTHER, SPONSOR SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS, CHANGES IN SERVICE OR ACCOMMODATIONS OR SUBSTITUTIONS, OR FOR ANY ACTS OR OMISSIONS BY ANY THIRD PARTIES BEYOND ITS REASONABLE CONTROL, INCLUDING AIR CARRIER(S) AND OTHER TRANSPORTATION COMPANIES; LODGING, RESTAURANT OR OTHER HOSPITALITY PROVIDERS; ENTERTAINMENT PROVIDERS, VENUES OR ARTISTS; OR OTHER THIRD PARTY PROVIDERS SUPPLYING ANY SERVICES OR COMPONENTS OF THE PRIZE(S) TO WINNERS AND/OR THEIR GUESTS, OR FOR ANY RESULTING INJURIES, INCLUDING MONEY DAMAGES, COSTS AND EXPENSES, PROPERTY DAMAGES, PERSONAL INJURIES OR DEATH RESULTING THEREFROM.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DAMAGE, DESTROY, TAMPER OR VANDALIZE THIS WEB SITE OR INTERFERE WITH THE OPERATION OF THE SWEEPSTAKES, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

GOVERNING LAW AND LIMITATION OF LIABILITY: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Sponsor or the Released Parties in connection with the Sweepstakes will be governed by and construed in accordance with the internal laws of the State of Pennsylvania, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other laws.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (A) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (B) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (C) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (D) ENTRANTS’ REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU. 

DISPUTES: The parties hereto each agree to finally settle all disputes only through arbitration; provided, however, the Released Parties shall be entitled to seek injunctive or equitable relief in the state and federal courts in Dauphin County, Pennsylvania and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Dauphin County, Pennsylvania. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Dauphin County, Pennsylvania. Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing). Either party may, notwithstanding this provision, bring qualifying claims in small claims court.  PRIVACY: As a condition of entering the Sweepstakes, each Entrant, participating Eligible Business and Eligible Business Representative gives consent for Sponsor to obtain and deliver their name, address and other information to third parties, including Sweepstakes Administrator, for the purpose of administering this Sweepstakes and to comply with applicable laws, regulations and rules, including, without limitation, the storing of your personal information for purposes of complying with state record retention requirements. Any information Entrant and Eligible Business Representative provides to Sponsor may be used to communicate with Entrant/Eligible Business Representative in relation to this Sweepstakes or on a Sweepstakes winner’s list. Personal information collected from Entrants and Eligible Business Representatives are subject to the Sponsor’s Privacy Policy, which can be found at https://sydist.website/docs/DataPrivacyPolicy.pdf.
